Service Agreement

1. Services Provided

These services will be provided for the Client’s website as specified in the chosen maintenance plan:

Basic Maintenance Plan

Pricing:

  • Monthly: $149.99

Services Included:

  • Daily Security Monitoring
  • Bi-Weekly Website Backups
  • Bi-Weekly CMS Security Upgrades and Patches
  • Bi-Weekly Plugin/Theme Updates and Patches
  • Initial Basic SEO Setup/Configuration (Includes setting up meta titles, descriptions, and indexing configurations. Does not include ongoing SEO optimizations or keyword research.)
  • Monday-Friday Technical Support

2. Excluded Services

The following services are not included in the Basic Website Maintenance Plan but can be provided at an additional cost:

  • Design and Development – $50.00/hour
  • On-Page SEO Configuration – $75.00/hour
  • Keyword Research – $50.00/hour
  • Integration or Configuration of Blogs, Shopping Carts, Employee Databases, CRM Systems, etc.
  • Reconfiguring a New Plugin – $75/hour
  • Major CMS Updates (e.g., major WordPress releases that may require reconfiguring plugins/themes) – $75/hour
  • Advanced SEO Services Beyond Initial Setup (structured data, meta descriptions, etc.) – $75/hour
  • Content Creation or Updating – $50/hour
  • Emergency Fixes Outside of Business Hours – $100/hour
Support Hours for Excluded Services

All excluded services will be provided during normal business hours (Monday-Friday). Requests for services outside these hours will be billed at the emergency rate of $100/hour unless otherwise agreed upon in writing.

Revisions Beyond Maintenance

Any client-requested revisions that go beyond the scope of standard maintenance, such as significant design changes or content updates, will be billed at the design and development rate of $50/hour. NventSolution, LLC will provide a time estimate before starting any revision work.

3. Authorization

The Client (“You”) authorizes NventSolution, LLC to access your website hosting accounts, including FTP and databases, for performing maintenance tasks.

If you are under the Premium Website Hosting plan, this section does not apply.

4. Terms of Service

NventSolution, LLC will provide the services listed in Section 1 for the duration of this agreement. The service is billed monthly, with the first payment due upon purchase through the client’s NVS Client Portal.

  • Services will not begin until this agreement is acknowledged through the NVS Client Portal.
  • During the term of this agreement, you agree that NventSolution, LLC will be the sole provider of website maintenance and security services.
  • If another party makes changes to the website, any resulting errors will be repaired at the hourly rate specified in Section 2.

5. Deadlines & Deliverables

  • Response Time: NventSolution, LLC will respond to all maintenance requests within 24 hours on weekdays and 48 hours on weekends.
  • Completion Time: Requests received after 5:00 PM MST may not be completed until the next business day unless prior arrangements have been made.
  • Delays: If any issues or delays arise, NventSolution, LLC will notify the client using the preferred contact method.

6. Payments

  • All initial and recurring monthly payments will be processed through the NVS Client Portal.
  • Any additional services not included in this agreement will be quoted and billed separately.

7. Plugin/Theme Update Conflicts

  • NventSolution, LLC is not responsible for errors caused by outdated themes, deprecated plugins, or third-party integrations.
  • Troubleshooting and resolving such issues will be billed at $75/hour.

8. Liability for External Hosting Issues

NventSolution, LLC is not responsible for downtime, data loss, or other issues caused by third-party hosting providers. Assistance with hosting-related issues will be billed at $50/hour, unless the client is on an NventSolution, LLC hosting plan.

9. Confidentiality

NventSolution, LLC will take reasonable steps to protect your confidential information. However, we are not liable for data breaches resulting from third-party services or client actions.

10. Privacy and Data Security

NventSolution, LLC implements industry-standard security practices but is not responsible for damages or data loss resulting from:

  • Client negligence
  • Third-party hosting breaches
  • Malware or security exploits beyond our control

11. Non-Payment Policy

  • Missed payments will result in service suspension after 3 days.
  • If payment remains outstanding for 14 days, all maintenance services will be permanently discontinued.
  • Reactivation of services will require a $50 reinstatement fee.

12. Termination of Agreement

  • Cancellation requests must be submitted at least 7 days before the renewal date through the NVS Client Portal.
  • Pro-Rated Refunds: If a client cancels on time, they will receive a pro-rated refund for the remaining days in the billing cycle.
  • Late Cancellations: If a cancellation request is submitted late, no refund will be issued, but services will remain active until the next renewal date.

13. Limitation of Liability

Neither party shall be liable for:

  • Indirect or speculative damages
  • Any loss beyond what was reasonably foreseeable at the time of entering into this agreement

14. Intellectual Property

  • The client will own the website and all visuals provided by NventSolution, LLC.
  • The client guarantees that they have legal rights to all provided content.
  • NventSolution, LLC guarantees that we have legal rights to all elements of the services provided.

15. Dispute Resolution

  • All disputes will be resolved via arbitration in Arizona under the American Arbitration Association’s commercial rules.
  • The decision of the arbitrator will be final and binding.

16. Applicable Law

This Agreement shall be governed by and construed in accordance with the laws of Arizona.

17. Mutual Legal Fees Responsibility

Each party shall be responsible for their own legal fees and costs incurred in connection with any dispute arising under this Agreement, unless otherwise determined by arbitration.

18. Note on payments and cancellations

  • All financial matters (payments, invoices, refunds, upgrades, downgrades, cancellations) must be handled through the NVS Client Portal.
  • The only accepted method for submitting a cancellation request is through the Billing Support Request.
