Service Agreement

1. Services Provided

These services will be provided for the Client’s website as specified in the chosen management plan:

Standard Management Plan

Pricing:

  • 1 Month: $319.99
  • 3 Months: $290/month ($870 total) (9% discount)
  • 6 Months: $250/month ($1,500 total) (22% discount)
  • Annual: $225/month ($2,700 total) (29% discount)

2. Complimentary Pro Plugin Services

During the active status of this agreement, NventSolution, LLC offers the installation of the following pro plugin at no additional cost:

  • Rank Math SEO Pro – Advanced SEO optimization.
  • Perfmatters – Enhances website speed by optimizing cache, JS, and CSS.

If the client cancels this agreement, NventSolution will replace Perfmatters and Rank Math SEO Pro with either a free version (if available) or a suitable alternative.

3. Accessing Your Website Management Plan Work Document

As part of our Management Plan, we use Microsoft OneNote to track all the work performed on your website based on the timeframe set by your plan. To request access to this document, follow the steps below:

  1. Submit a Support Ticket:

    • Log in to the NVS Client Portal and navigate to the Support section.
    • Open a new support ticket with the subject line: “Management Work Document.”
    • In the body of the ticket, feel free to ask any specific questions regarding the tracked work if necessary.
  2. Processing Time:

    • We will provide you with a link to your Microsoft OneNote document within 24-48 hours.
  3. Trouble Accessing the Link?

    • If you encounter any issues accessing the link, please let us know in the same support ticket, or feel free to contact us directly at (480) 253-9836 for assistance.

4. Obtaining Google Analytics & Google Search Console Reports

Clients subscribed to the Standard Management Plan can request their Google Analytics and Google Search Console reports upon request. These reports are not automatically generated to prevent confusion, as many clients may discard or not fully understand the data.

To request your reports, follow these steps:

Submit a Support Ticket:

  • Log in to your account through the NVS Client Portal.
  • Navigate to the Support section and create a new support ticket.
  • In the subject line, enter: “Request for Google Analytics & Search Console Report.”
  • In the body of the ticket, specify the desired time frame for the reports (e.g., last 30 days, last quarter).

Processing Time:

  • Please allow up to 48 hours for us to compile and prepare your reports.

Report Delivery:

  • The reports will either be emailed to you directly or made available for download in the Support section of the portal once completed.

Additional Requests:

  • If you require further custom analysis or insights beyond the standard reports, these requests may be billed at an hourly rate. Details will be discussed upon receiving the request.

5. Authorization

Client authorizes NventSolution, LLC to access their website hosting accounts, including the FTP server, with active username/password combinations. (If the client is under NVS Website Hosting +, this section does not apply.)

6. Terms of Service

NventSolution, LLC will provide the services listed in the “1. Services” section for the duration of this agreement. The service will be billed monthly, with the first payment due upon purchase through the client’s NVS client portal. Services will not begin until the agreement is acknowledged through the portal.

During the term of this agreement, the Client agrees that NventSolution, LLC will be the sole provider of website management and security services. If another party makes changes to the website, any errors resulting from those changes will be repaired at the hourly rate specified by NVS

7. Deadlines & Deliverables

NventSolution, LLC will respond to all management requests within 24 hours on weekdays and 48 hours on weekends. Requests received after 5:00 PM MST may not be completed until the next business day unless prior arrangements have been made. The majority of work will be done within these timeframes.

If any issues or delays arise, NventSolution, LLC will notify the client using the preferred method of contact indicated in the initial request.

8. Payments

Initial and recurring monthly payments will be made through the client’s NVS client portal. Any additional services not included in this agreement will be quoted and billed separately through the portal.

9. Plugin/Theme Update Conflicts

NventSolution, LLC will not be liable for any conflicts or errors caused by pre-existing plugin/theme updates. If fixing such issues requires new design work or the installation of a new plugin, NventSolution, LLC will present the client with possible solutions and associated costs.

10. Confidentiality

NventSolution, LLC will take reasonable steps to protect the client’s confidential information during and after the term of this agreement. Confidential information includes only that which is clearly marked as confidential. Information that was known to NventSolution, LLC before disclosure, becomes public knowledge through no fault of NventSolution, LLC, is obtained from other sources, or is developed independently is not considered confidential.

11. Termination of Agreement

The client may request the termination of this agreement by submitting a cancellation request through a support ticket in the “Billing” category within the NVS client portal. The cancellation request must be submitted at least 7 days before the renewal date. If the request is submitted on time, NventSolution, LLC will process a refund for the remaining days within the current month of service and provide all login credentials and off-site backups. If the request is late, no refund will be issued, but credentials and backups will still be provided.

12. Limitation of Liability

Neither party will be liable for damages that are remote, speculative, or not reasonably foreseeable at the time of entering into this agreement.

13. Intellectual Property

The client will own the website and any visuals provided by NventSolution, LLC. The client guarantees they have legal rights to all elements provided to NventSolution, LLC and will not hold NventSolution, LLC responsible for any third-party claims. Similarly, NventSolution, LLC guarantees they have legal rights to all elements related to the services provided.

14. Dispute Resolution

All disputes under this Agreement shall be resolved by arbitration in Arizona, under the commercial law rules of the American Arbitration Association. The decision of the arbitrator shall be final and binding.

15. Applicable Law

This Agreement shall be governed by and construed in accordance with the laws of Arizona.

16. Use of Licensed Images

NventSolution, LLC uses licensed images from Depositphotos under an active license agreement. This license permits NventSolution, LLC to use and display these images on the websites we design, develop, or maintain for our clients. These images may be used for various website content, including banners, sliders, blog posts, and other visual elements.

The client acknowledges that these images are provided under a third-party license and that NventSolution, LLC has obtained the necessary rights to use these images on behalf of the client. The client will retain the rights to these images for the duration of the service agreement.

If the agreement between NventSolution, LLC and Depositphotos is terminated or expires, the client will continue to retain the rights to use the images on their website as permitted by the original license. NventSolution, LLC will not be responsible for replacing images or managing licenses beyond the term of this agreement.

17. Note on payments and cancellations

All payments, refunds, credits, invoices, service upgrades, downgrades, and cancellations must be handled through the NVS Client Portal. The only accepted method for submitting a cancellation request is through a support request in the NVS Client Portal.

18. Confirmation

By proceeding with the payment, you confirm that you have read, understood, and agree to the terms outlined in this service agreement.
